QXO Upsizes Strategic Funding to $3 Billion

QXO has just announced a $1.8 billion increase to its recent financing arrangement, bringing the total commitment from Apollo, Temasek, and other institutional investors to $3 billion. The structure remains the same as the initial $1.2 billion deal, utilising convertible perpetual preferred stock to fuel Brad Jacobs' vision for the company.

The specifics of the upsized agreement are:

  • Total Commitment: Increased from $1.2 billion to $3 billion.

  • Key Investors: Led by Apollo, with the notable addition of Temasek and other major participants.

  • Conversion Terms: The financing continues to utilize the Series C Preferred Stock, maintaining the previously disclosed conversion mechanics.

  • Zero Cash Drag: Funding remains conditional, meaning capital is only drawn when an acquisition is ready to close.

This significant increase in dry powder suggests that QXO is clearly ready to execute on an acquisition of substantial scale. By securing $3 billion in "on-call" capital, the company can move quickly on opportunities. It remains a very clever way of raising optional capital, ensuring that the company is "deal-ready" at a moment's notice.

We still believe that Brad Jacobs' long history of value creation and his extensive professional network place the company in a uniquely strong position for these types of deals. Attracting a sovereign wealth fund like Temasek alongside Apollo to more than double a commitment in just one week is a testament to the market's confidence in Jacobs’ ability to find and integrate high-value targets.

The sheer scale of this $3 billion facility confirms that QXO is hunting for a transformative entry into the market. We will be watching closely and wouldn't be surprised to see a move sooner rather than later.
